Authorized Reseller Agreement


To be a PALI HAWAII Authorized Reseller, your business must comply with this Authorized Reseller Agreement at all times.

D&T Distribution will administer this policy and take appropriate action against resellers who violate this Authorized Reseller Agreement.

 

1. Maintain Current Business Information and Disclose All Locations That Carry PALI HAWAII

Maintain accurate and up-to-date company information and disclose all retail locations that carry PALI HAWAII throughout the term of your reseller relationship with PALI HAWAII.

Qualifying retail locations can be any of the following:

  • your physical brick and mortar store(s)
  • your commerce-enabled website(s)
  • or any temporary storefronts (events, trade shows, pop up stores, etc.)

 

2. Report Sell-Through for Physical Retail Location(s) and E-Commerce Sites

Reseller must provide approved retail location and sell-through information by SKU upon request. An audit of all financial statements or business operations related to PALI HAWAII sales may also be requested to ensure compliance with this policy.

 

3. PALI HAWAII’s Trademark & Brand Policy

Reseller must comply with PALI HAWAII’s Trademark & Brand Policy and represent themselves as a PALI HAWAII Authorized Reseller in all advertising and sales collateral.

Setting up businesses, registering domain names, or using social media usernames that contain the PALI HAWAII name or any PALI HAWAII trademark is strictly prohibited.

 

4. Sell to Retail Consumers Only

Reseller may not sell in bulk to B2B accounts, wholesalers, or freight forwarders / drop shippers for other retailers. Reseller may only sell to their end consumers.

 

5. Only Purchase PALI HAWAII Products Directly from Assigned and Authorized Distributors

Reseller may not buy PALI HAWAII products from other retailers, or from other sources not explicitly endorsed by PALI HAWAII.

 

6. Only Sell PALI HAWAII Products in Original Packaging

Reseller may not alter original PALI HAWAII packaging in any way prior to reselling PALI HAWAII products. Removing PALI HAWAII products from packaging and reselling PALI HAWAII products in a different packaging or under a different name is strictly prohibited.

 

7. Use PALI HAWAII-Supplied Product Data

Reseller must use PALI HAWAII-supplied product data in all advertising unless prior written permission is obtained from PALI HAWAII.

 

8. Maintain Proper PALI HAWAII Product Information

Reseller shall maintain proper PALI HAWAII product information at all times and may not re-SKU or circumvent SKU identification by bundling PALI HAWAII products without prior written permission from PALI HAWAII.

 

9. Unauthorized or Suspicious Sales

Reseller agrees to reasonably cooperate with PALI HAWAII in preventing unauthorized sales of PALI HAWAII products. For sales deemed to be suspicious, Reseller should request the following information: customer name, customer address, customer phone, product SKU numbers and dates of transaction(s). This information is not required by PALI HAWAII, but should be used to identify suspicious purchase patterns by customers who may violate this Authorized Reseller Agreement.

 

10. Customer Confusion

Reseller may not advertise, market, display or demonstrate non-PALI HAWAII products together with PALI HAWAII products in a manner that would create the impression that the non-PALI HAWAII products are endorsed by or associated with PALI HAWAII.

 

11. Sell on Approved Retail Website(s) Only

Reseller may only take orders via publicly accessible, e-commerce enabled web pages hosted on approved websites owned and operated by your company.

Selling on third-party sites (eBay, Amazon, Alibaba, etc.), drop-ship accounts (Buy.com, Newegg.com, Overstock.com, etc.), classified sites (Craigslist.com, Facebook Marketplace, etc.) or through direct messages on forums is strictly prohibited without prior permission from PALI HAWAII or D&T Distribution.

12. Sell to Customer(s) within an Assigned Geographic Territory

Reseller must restrict customer order shipments to shipping addresses located within your assigned country or designated territory. This includes not selling or shipping PALI HAWAII products to end consumers online if your territory does not include the online channel.

 

13. Ensure PCI Compliance

Reseller must ensure PCI (payment card industry) compliance for all approved commerce-enabled websites owned and operated by your company.

 

14. Maintain Updated Privacy Policy

Reseller must publish and maintain a publicly accessible privacy policy.

 

15. Operate E-commerce Business Separately from Offline Retail Business

Reseller should plan inventory for e-commerce business separately from inventory for physical retail business in order to provide accurate sell-through numbers for each.

 

16. E-Commerce Security

Reseller must maintain industry-standard e-commerce security and fraud protection measures, including two-factor authentication and customer fraud resolution procedures.

 

17. Obey the Law and Abide by Policy Rules

Reseller must comply with all applicable laws, regulations, rules, and policies related to the marketing and sale of PALI HAWAII products.

 

18. Customer Service

Reseller must provide a level of sales support for customers that meet or exceed industry best practices.

 

Failure to comply with this Authorized Reseller Agreement may result in suspension or termination of your account.
